These Terms and Conditions (the “Agreement”) govern your access to and use of our website (the “Site”) and all related services, tools, features, content, and applications (collectively, the “Services”) offered by Leftover (“we”, “us”, or “our”). By accessing, browsing, or using the Site or Services in any manner, you acknowledge that you have read, understood, and agree to be legally bound by this Agreement. If you do not agree to these terms, please do not use our Site or Services.

Overview of Services

Leftover.biz is a global e-commerce platform that enables individuals, businesses, and professional sellers to list, discover, buy, and sell a wide variety of products. Categories include, but are not limited to, fashion, beauty, electronics, home & garden, tools, accessories, and lifestyle items. Leftover serves as a marketplace that facilitates connections and transactions between buyers and sellers. While we provide the platform and tools to support these interactions, we are not a party to the actual sale of items and do not take ownership of the goods listed or sold.

We do not guarantee the quality, authenticity, legality, or condition of any product listed on the platform. Each seller is fully responsible for the products they offer, and each buyer assumes the responsibility of carefully reviewing product information before making a purchase.

User Eligibility and Account Registration

To access certain functionalities of the Site and Services—such as listing products, making purchases, or managing orders—you must register for a user account. By creating an account, you affirm that you are at least 18 years of age or the legal age of majority in your jurisdiction and that all information you provide during the registration process is accurate, complete, and current.

You are solely responsible for maintaining the confidentiality of your account login credentials, including your password, and for all activity conducted under your account. You agree to notify Leftover immediately at support@leftover.biz if you suspect unauthorized access, misuse of your account, or any breach of security. We reserve the right to suspend or terminate any account that violates these terms or is suspected of suspicious activity.

Seller Obligations and Product Listings

If you choose to list and sell products on Leftover, you agree to comply with all applicable local and international laws, as well as any additional platform policies, including our Seller Guidelines and Product Listing Standards.

As a seller, you are entirely responsible for:

• Providing accurate, complete, and truthful product information, including titles, descriptions, images, pricing, and shipping details.

• Ensuring the availability and timely fulfillment of orders placed by buyers.

• Responding to customer inquiries and resolving disputes professionally.

• Notifying customers of shipping timelines, delays, or changes in stock.

Leftover reserves the right to edit, restrict, remove, or suspend any listing that is misleading, inappropriate, in violation of applicable laws, or otherwise inconsistent with the standards of our marketplace. Sellers may also be removed or suspended from the platform for repeated violations or failure to meet customer satisfaction benchmarks.

Buyer Responsibilities

As a buyer, you agree to use the Site and Services only for lawful purposes. You are solely responsible for reading and understanding the full item description, price, shipping terms, and return policy before making a purchase. When you place an order on the Site, you enter into a legally binding transaction with the seller.

You agree to make timely payment for all purchases and to follow all guidelines regarding shipping, delivery confirmation, and communication with sellers. If a dispute arises, we encourage you to resolve the matter directly with the seller first. If assistance is required, Leftover may intervene at its sole discretion to mediate the issue.

Payment Processing

All financial transactions on the Leftover platform are processed through trusted third-party payment service providers, which may include, but are not limited to, Stripe, PayPal, or local gateways. By making a payment, you agree to comply with the terms and policies of those payment processors.

Leftover does not store your full credit card, debit card, or banking information. We are not responsible for any delays, fees, or issues arising from the payment processing services, including chargebacks, rejected transactions, or account limitations placed by these processors.

All prices are listed in your selected currency, and applicable taxes, fees, or shipping costs may be added at checkout.

Platform Ownership and Intellectual Property

All content, branding, software, and design elements associated with Leftover—including but not limited to logos, trademarks, domain names, text, graphics, images, videos, code, and user interface components—are the exclusive intellectual property of Leftover or its licensors. These assets are protected under Hong Kong and international copyright, trademark, and intellectual property laws.

You may not use, reproduce, republish, upload, distribute, or modify any part of the Site or Services without the express prior written permission of Leftover. Unauthorized use of our intellectual property is strictly prohibited and may result in legal action.

Privacy and Data Protection

We take your privacy seriously. Our data collection, usage, storage, and protection practices are governed by our Privacy Policy, which is incorporated by reference into this Agreement. By using our Site or Services, you consent to the terms of the Privacy Policy, including the use of cookies and data analytics for service optimization.

Disclaimers and No Warranty

The Site and all Services provided by Leftover are offered “as is” and “as available,” without any warranty or condition, express or implied. We do not make any guarantees regarding the accuracy, completeness, reliability, or availability of the Site or the products listed.

To the fullest extent permissible under applicable law, we disclaim all warranties, including but not limited to merchantability, fitness for a particular purpose, non-infringement, or continuous access. You use the Site and Services at your own risk.

We do not endorse or take responsibility for any products or claims made by users, and we are not liable for any loss or damage resulting from interactions between users of the platform.

Limitation of Liability

In no event shall Leftover, its directors, officers, employees, partners, or agents be liable for any indirect, incidental, consequential, punitive, or special damages, including but not limited to loss of profits, revenue, data, or goodwill, arising out of or in connection with your access to or use of the Site or Services, even if we were advised of the possibility of such damages.

Our maximum liability to you for any claim arising from the use of the Site or Services shall not exceed the total amount paid by you to Leftover for Services in the twelve (12) months preceding the event giving rise to the claim.

Indemnification

You agree to defend, indemnify, and hold harmless Leftover, its affiliates, directors, employees, licensors, and partners from and against any and all claims, demands, damages, liabilities, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to your use of the Site or Services, your violation of this Agreement, your infringement of any intellectual property or rights of any third party, or your breach of any laws or regulations.

Modifications to Terms

Leftover reserves the right to update, modify, or revise these Terms and Conditions at any time. Continued use of the Site after such changes constitutes your acceptance of the updated Terms. It is your responsibility to review these Terms periodically.

Governing Law and Jurisdiction

This Agreement shall be governed and interpreted in accordance with the laws of the Hong Kong Special Administrative Region (HKSAR). Any disputes, claims, or controversies arising out of or related to this Agreement, the Site, or Services shall be subject to the exclusive jurisdiction of the courts of Hong Kong.
